Ushio Inc. (Ushio), a leading Japanese lighting technology company, announced that it has acquired the industrial and entertainment lighting business of ams OSRAM for €114 million (on a cash-free and debt-free basis).

Under the terms of the transaction, Ushio will acquire all shares in a newly established subsidiary of ams OSRAM, which will take over the industrial and entertainment lighting business. The transaction is expected to close in March 2026, upon which approximately 500 ams OSRAM employees will join the Ushio team.

This transaction marks Ushio's further expansion in the high-end industrial lighting sector and is a key step in ams OSRAM's strategy to optimize its business portfolio and focus on core technologies. Following the announcement, ams OSRAM's share price rose 4%, reflecting the market's positive reaction to this strategic shift.

The sale of ams' industrial and entertainment lighting business by OSRAM marks the acceleration of its transformation from a traditional lighting manufacturer to a provider of high-tech optoelectronic solutions. Going forward, ams will further focus on semiconductor, sensor, and optoelectronic technologies, providing innovative solutions for consumer electronics, automotive, medical, and industrial applications.

Although the transaction value was only €114 million, it reflects the profound transformation currently underway in the global lighting industry. As lighting technology evolves from traditional fixtures to intelligent and digital technologies, the industry's value chain is being restructured. Specialized companies are focusing on niche markets, while traditional lighting giants are gradually exiting the low-margin lighting manufacturing sector to focus on high-value-added technologies and solutions. This trend will continue to reshape the competitive landscape of the global lighting market.
